Terms and Conditions for Design Services

1. Introduction

These terms and conditions (the “Agreement”) govern the provision of design services (the “Services”) by Sama al dana design and artwork service (the “Designer”) to the client (the “Client”). By engaging the Designer’s services, the Client agrees to these terms.

2. Scope of Services

The Designer agrees to provide the following services as detailed in the project proposal or agreement:

  • Artwork and Design: Custom illustrations, digital art, and graphic designs.
  • Book Cover Design: Design of front cover, back cover, and spine, including layout and typography.
  • Brochure Design: Design of brochures, including layout, graphics, and text arrangement.
  • Magazine Design: Design of magazine layouts, including cover, feature spreads, and advertisements.
  • Stamp Design: Custom design for postage stamps or commemorative stamps.

3. Project Process

  1. Initial Consultation: The Designer and Client will discuss the project requirements, goals, and timelines.
  2. Proposal: The Designer will provide a written proposal outlining the scope of work, deliverables, timeline, and cost.
  3. Approval: The Client must approve the proposal before the Designer begins work.
  4. Design Phase: The Designer will create initial concepts, which will be presented to the Client for feedback.
  5. Revisions: The Client is entitled to [number] rounds of revisions as specified in the proposal.
  6. Final Deliverables: Once approved, the Designer will provide final files in the agreed formats.

4. Payment Terms

  1. Fees: The Client agrees to pay the Designer according to the payment schedule outlined in the proposal.
  2. Deposit: A non-refundable deposit of [percentage]% is required to initiate the project.
  3. Final Payment: The remaining balance is due upon completion and before the delivery of final files.
  4. Late Fees: Late payments may incur a [percentage]% late fee after [number] days past the due date.

5. Ownership and Rights

  1. Intellectual Property: The Designer retains copyright ownership of all original designs and artwork until full payment is received. Upon receipt of full payment, the Client will receive a license to use the designs for the agreed-upon purpose.
  2. Usage Rights: The Client may use the designs only for the specified project. Any additional use requires further licensing and may incur additional fees.
  3. Reproduction: The Client may not reproduce, alter, or use the designs for any purpose other than that agreed upon without the Designer’s written consent.

6. Confidentiality

Both parties agree to keep all project-related information confidential and not to disclose it to third parties without prior written consent.

7. Termination

  1. By the Client: The Client may terminate the project with written notice. The Designer will invoice for work completed up to the termination date, and the deposit is non-refundable.
  2. By the Designer: The Designer may terminate the project if the Client fails to meet agreed-upon deadlines or payment terms, or if the Client’s actions are deemed unethical or illegal.

8. Liability

The Designer will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the designs.

9. Dispute Resolution

Any disputes arising under this Agreement will be resolved through us.

10. Governing Law

This Agreement will be governed by and construed in accordance with the law.

11. Amendments

Any amendments to this Agreement must be made in writing and signed by both parties.

12. Acceptance

By engaging the Designer’s services, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
